These Terms of Service ("Terms") govern access to and use of SignalQuarry, including Capital Signals, account features, access tools, and related websites and services (collectively, the "Service"). These Terms are between you and the operator of SignalQuarry ("SignalQuarry," "we," "us," or "our"). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms.
SignalQuarry is a business-information product intended for business and professional use, not personal, family, or household use. You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Service for an organization, you represent that you have authority to bind that organization.
SignalQuarry's core product is access to information from public SEC Form D notices and Form D/A amendments. Capital Signals retrieves and displays filing information and may process, parse, normalize, categorize, or otherwise transform selected fields so that filing information can be presented through SignalQuarry.
A SignalQuarry subscription purchases access to the filing information made available through the applicable plan. Search, filters, CSV export, source links, classifications, calculated or derived fields, APIs, alerts, saved searches, and similar functions are tools for accessing, navigating, or using that information. Unless SignalQuarry expressly agrees otherwise in writing, those tools are not separate guaranteed services, deliverables, or service-level commitments.
The Service is an information and research tool. It does not verify the truth, accuracy, legality, financial condition, creditworthiness, legitimacy, fundraising success, or suitability of any issuer, offering, person, or business.
SignalQuarry Pro includes a 24-hour free trial. A payment method is required. The trial begins when the subscription is successfully created through checkout. If you do not cancel before the trial ends, the subscription automatically converts to a paid Pro subscription at $99 per month and automatically renews monthly until canceled.
You can cancel online without contacting a salesperson or support representative. Sign in to SignalQuarry, open Account, select Manage billing, and use the hosted subscription-management flow. Managed Payments customers may also be able to manage subscriptions through Link.
To avoid the first charge, cancellation must be completed before the 24-hour trial ends. For an already-paid subscription, cancellation normally stops future renewal and access continues through the paid billing period unless a refund, payment-provider action, or applicable law requires otherwise.

Paid subscription fees are generally non-refundable once a paid billing period begins, except where required by law or where a refund is approved for a duplicate or incorrect charge, a verified material service failure as described in our Cancellation & Refund Policy, or another circumstance we approve. Stripe/Link may separately handle or issue refunds for Managed Payments transactions under its own policies and discretion.
You are solely responsible for how you act on information from SignalQuarry. In particular, you are responsible for complying with laws and rules applicable to your outreach, marketing, communications, sales practices, privacy practices, securities-related activity, and use of personal or business information.
You may not use the Service to facilitate unlawful spam, harassment, fraud, deceptive practices, illegal discrimination, unlawful securities solicitation, or any other illegal activity.
Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service and permitted exports for your own internal business purposes.

These restrictions do not give us ownership of the underlying public SEC filings. They protect SignalQuarry's software, presentation, processing, classifications, compilations, and other original work.
SignalQuarry is independent and is not affiliated with, sponsored by, endorsed by, or approved by the U.S. Securities and Exchange Commission. EDGAR and EDGARLink are registered trademarks of the SEC. A Form D or D/A filing is a public notice and does not mean the SEC has approved, verified, registered, or endorsed an offering.
Public filings can contain errors, omissions, estimates, later amendments, or information that becomes stale. SignalQuarry's parsing, processing, classifications, and display can also contain errors or differ from the source filing. The linked source filing should be reviewed when accuracy matters. SignalQuarry is not a broker-dealer, investment adviser, placement agent, law firm, accounting firm, or tax adviser. Nothing in the Service is an offer to buy or sell securities, a recommendation to contact or invest in an issuer, an endorsement of an offering, or investment, legal, tax, accounting, or financial advice. Do not make investment or other high-stakes decisions solely from SignalQuarry data.
Public-source availability, SEC systems, network conditions, maintenance, third-party providers, and technical failures can delay or interrupt access to filing information or individual Service functions. Search, filtering, export, API access, source links, classifications, alerts, saved searches, and similar tools may be temporarily unavailable, delayed, rate-limited, modified, replaced, or discontinued.
Temporary degradation or unavailability of an individual ancillary tool does not by itself mean that the entire paid Service is unavailable when the filing information included in your plan remains reasonably accessible. We do not guarantee any particular export format, API behavior, search result count, filter behavior, detection time, filing count, historical coverage date, uptime percentage, response time, or uninterrupted availability unless we separately agree to a specific service level in writing.
We may add, remove, or modify features as the Service develops. If we make a material permanent change that substantially reduces the core paid access to Form D or Form D/A information for an existing subscription, we will address any notice, cancellation, credit, or refund obligations required by applicable law or expressly promised to the customer.
The Service includes links to and integrations with third parties, including SEC websites and payment providers. Third-party services are governed by their own terms and policies. We are not responsible for third-party sites, source-system outages, or third-party content except to the extent applicable law provides otherwise.
We may suspend or terminate access for nonpayment, security threats, abuse, unlawful use, material breach of these Terms, attempts to evade product limits, or conduct that creates material risk to SignalQuarry, its users, payment providers, infrastructure providers, or source systems. Where reasonable, we will try to provide notice and an opportunity to cure, but we may act immediately when necessary to protect the Service or others.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SIGNALQUARRY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR DATA WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, SECURE, OR UNINTERRUPTED.
Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALQUARRY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, OR DECISIONS MADE FROM SERVICE DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALQUARRY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SIGNALQUARRY FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply where prohibited by law and do not limit liability that cannot legally be excluded or limited.
To the extent permitted by law, if you use the Service for business purposes, you agree to defend, indemnify, and hold harmless SignalQuarry and its operator from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Service, your outreach or communications based on Service data, your violation of these Terms, or your infringement of another person's rights. This does not apply to claims caused by SignalQuarry's own unlawful conduct.
Before filing a claim, you and SignalQuarry agree to attempt in good faith to resolve the dispute by written notice sent to [email protected], describing the issue and requested resolution. Unless mandatory law requires otherwise, these Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles, and disputes not resolved informally must be brought in a state or federal court with jurisdiction in Alabama.
We may update these Terms as the Service, billing model, laws, or providers change. We will post the updated version and change the "Last updated" date. If a change materially affects an existing paid subscription, we will provide additional notice when required by law.
