What is Form D, and why should I care?
Form D is an SEC notice used for certain exempt securities offerings. It is generally filed shortly after the first sale in an offering, so a fresh Form D can be a useful signal that a company or fund has started raising capital.
The filing can show the issuer, offering size, amount sold, investor count, industry, location, security type and first-sale date. That makes Form D useful for business research, prospecting and market monitoring: investors can spot financing activity, while service providers, recruiters, lenders, competitors and other researchers can identify companies or funds where money is actively moving.
Form D is not usually an investor directory and it does not necessarily identify the people or firms that invested. The useful signal is the fundraising event itself and the public details surrounding it. SignalQuarry organizes those filings and links each record back to the SEC source.
Where does SignalQuarry get its data?
SignalQuarry uses public SEC EDGAR data. The product organizes and normalizes that filing information for research; the SEC filing remains the original source.
Why do new Form D filings usually stop appearing after about 5:30 p.m. ET?
EDGAR accepts filings on business days until 10:00 p.m. ET, but the SEC says most live submissions that begin after 5:30 p.m. ET receive the next business day's filing date and are not disseminated until the next business day. Form D is not listed among the submission types that continue receiving same-day dissemination after 5:30 p.m.
Does that mean EDGAR is closed after 5:30 p.m.?
No. EDGAR generally accepts electronic submissions from 6:00 a.m. to 10:00 p.m. ET on business days. The 5:30 p.m. cutoff mainly affects the filing date and public dissemination timing for most submission types.
What is a D/A filing?
D/A is an amendment to an earlier Form D. Use the Filing type filter to view new Form D filings, amendments, or both.
Why are U.S. states and countries separate filters?
EDGAR uses compact state and country codes internally. SignalQuarry normalizes those codes into readable locations. U.S. state is a dedicated filter, while Country is separate so a state like Alabama is not mixed into the same menu as Canada, Germany or the United Kingdom.
Are all fields available on every filing?
No. Form D records can omit fields or report values differently. SignalQuarry displays what is available from the public filing and uses “Not reported” when a field is unavailable.
What does CSV export contain?
Pro CSV export uses the filters you have selected and exports matching filing fields for spreadsheet analysis. The export can contain more rows than are visible on one results page.
How current is the public preview?
The public preview is intentionally delayed by 24 hours. Pro access uses the current SignalQuarry filing database, subject to SEC dissemination and normal collection/processing delay.
What if I find incorrect filing data or a bug?
Use Feedback / report a bug. Choose “Data issue” when the SignalQuarry record appears to disagree with the SEC source.
Is SignalQuarry investment, legal or financial advice?
